API Terms of Use
Thank you for your interest in using ServiceTitan's application programming interfaces (including webhook events), associated software and related developer services and resources, as made available by ServiceTitan in its sole discretion (collectively, "APIs").
THESE API TERMS OF USE (“TERMS”) CONTAIN VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MIGHT APPLY TO YOU. PLEASE READ THEM CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE APIs.
BY AGREEING TO THESE TERMS YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THESE TERMS, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS. YOU WARRANT THAT IF YOU ENTER INTO THESE TERMS ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU HAVE THE LEGAL AUTHORITY TO BIND ANY SUCH ORGANIZATION OR COMPANY TO THESE TERMS, AND THE TERM “YOU” AS SET FORTH HEREIN SHALL REFER TO SUCH ORGANIZATION OR COMPANY.
YOU SHALL NOT ENTER INTO THESE TERMS IF YOU (i) DO NOT AGREE TO THESE TERMS, (ii) ARE NOT THE OLDER OF (A) AT LEAST 18 YEARS OF AGE OR (B) LEGAL AGE TO FORM A BINDING CONTRACT, OR (iii) ARE PROHIBITED BY APPLICABLE LAW FROM ACCESSING, USING OR DISPLAYING, AS APPLICABLE, THE APIs, OR ANY OF THE CONTENT FROM SERVICETITAN ACCESSIBLE THROUGH THE APIs (“CONTENT”).
THIS AGREEMENT REQUIRES ARBITRATION TO RESOLVE DISPUTES, RATHER THAN A JURY TRIAL.
1. PURPOSE OF THESE TERMS
1.1 Purpose. ServiceTitan has invested in developing, supporting, and providing the APIs so that you and other developers may integrate the APIs into your applications (each an “Application”) in order to enhance such Applications and benefit ServiceTitan and its customers. The APIs enable you to connect your Application to the online services provided by ServiceTitan at servicetitan.com and related websites and mobile applications (but excluding third party applications and services contained therein) (the “ServiceTitan Platform”), and obtain and display Content. All of the foregoing in this Section 1.1 shall be defined as the “Purpose”.
1.2 Public and Restricted APIs. ServiceTitan offers certain APIs that are generally available to registered and approved developers (“Public APIs”) and other APIs that are not generally available and only made available where approved in ServiceTitan’s sole discretion (“Restricted APIs”). Restricted APIs are subject to additional terms and conditions. In the event of a conflict between these Terms and those additional terms and conditions, the additional terms and conditions shall apply to the Restricted APIs. Information regarding the APIs is available on ServiceTitan’s developer website located at https://developer.servicetitan.io/ or such other URL as ServiceTitan may designate (the “Developer Site”).
2. ACCOUNT REGISTRATION; ACCOUNT CREDENTIALS; APPLICATION TYPES AND DISTRIBUTION; LEAST PRIVILEGE
2.1 Account Registration. To use the APIs you must create an account. Your account must contain accurate and up-to-date information at all times, including your current title, company, and e-mail address. You agree that we can use, store, and share information submitted by you to ServiceTitan in connection with your account to contact you, for attribution purposes, handling inquiries from customers, for other purposes under these Terms. You acknowledge that if you share the contact information of your employees or independent contractors with us, we may contact them in accordance with these Terms.
2.2 Account Credentials. “Account Credentials” means any app or tenant identification, keys, passwords, secrets, tokens, other credentials, or other mechanisms provided by ServiceTitan for you to access the APIs, integration environment, and/or ServiceTitan’s related systems or platforms. You will immediately inform ServiceTitan at security@servicetitan.com of any confirmed or suspected loss, unauthorized access or use, of any of your Account Credentials. You will not apply for additional Account Credentials in an attempt to circumvent these Terms or the Documentation, including limits on the APIs. You will at no time use any keys, passwords, or other credentials issued to any third party to access or use the APIs. ServiceTitan reserves the right to revoke the permissions with respect to any Account Credentials at any time and for any reason.
You will not permit any third party user access to your account or otherwise provide them with Account Credentials, except, if you are a ServiceTitan customer who has established and are using this account solely for your own benefit, you may allow suitably qualified professional information technology services providers, hired by you to assist in managing the information technology services utilized solely by you, access to your account via unique Account Credentials issued to and assigned to them. You are solely responsible for all activity undertaken through your account, and all use of your Account Credentials.
2.3 Application Types and Distribution.
"Custom Application" means (i) if you are making use of your applicable integration environment as a third party App developer, an Application that you make available to a single ServiceTitan customer only (except to the extent that ServiceTitan approves in writing the provision of such Application to more than one ServiceTitan customer) through an integration environment provisioned to you by ServiceTitan, or (ii) if you are a ServiceTitan customer and making use of your applicable integration or production environment in that capacity, an Application that you use only in connection with the tenants you directly own and administer on the ServiceTitan Platform. Custom Applications may not be installed by, distributed to, or otherwise made available for use by more than one ServiceTitan customer. Other than Custom Applications and Authorized Applications, no other Applications may access or use the APIs.
“Authorized Application” means an Application that has received ServiceTitan’s written approval for distribution to multiple ServiceTitan customers via the APIs through an integration environment provisioned to you by ServiceTitan. Subject to the terms of this Section 2.3, you will not distribute, permit to be installed by, or otherwise make your Application available via the APIs to more than one ServiceTitan customer except to the extent that it is an Authorized Application.
Applications must only access and use the APIs through an integration environment provisioned to you by ServiceTitan. ServiceTitan reserves the right to require that Applications at all times meet its then-current certification, security, distribution limits, and quality standards, which include undergoing technical validation, data mapping, user interface approval/testing, and content reviews (such certification review process, the “Certification Process” and such certification requirements, collectively the “Certification Requirements”) as a condition of API access. If the Certification Requirements applicable to your Application include defined functionality, API scopes, API endpoints, and/or data fields (collectively, “Certified Scope”), your Application shall at no time exceed such Certified Scope. Such Certification Requirements are subject to change at any time in ServiceTitan’s sole discretion and API access may be revoked, or Application API access and/or distribution may be otherwise limited or restricted, for any Application which fails to maintain compliance with Certification Requirements.
2.4 Least Privilege Access. You will request and maintain only the minimum API scopes, endpoints, permissions, and data access necessary to provide your Application's approved functionality as documented in your Certified Scope. You will: (a) not request, enable, or retain API scopes or permissions that are not required for your Application's current, approved functionality; (b) promptly de-provision or request removal of any API scopes or permissions that are no longer necessary; (c) not attempt to access, query, or retrieve data from any API endpoint, scope, tenant, or data field for which you have not been granted access by ServiceTitan; and (d) not circumvent, bypass, or attempt to override any access controls, scope restrictions, tenant isolation, traffic isolation, or other security or governance mechanisms implemented by ServiceTitan to regulate access to the APIs or the ServiceTitan Platform. Any attempt to access the APIs, ServiceTitan Platform, data beyond your Certified Scope or other failure to comply with this Section shall constitute a material breach of these Terms.
3. LICENSE GRANTS AND RESTRICTIONS
3.1 API License. Subject to the terms and conditions of these Terms, ServiceTitan hereby grants to you a limited, non-exclusive, non-sublicenseable, non-transferable, royalty-free license to use the APIs solely to develop, test, use, and maintain an interconnection between your Application and ServiceTitan Platform.
3.2 Content License. Subject to the terms and conditions of these Terms, ServiceTitan hereby grants to you a limited, non-exclusive, non-sublicenseable, non-transferable, royalty-free license to display Content obtained via the APIs in your Application.
3.3 Documentation. Your use of the APIs and display of Content must at all times strictly comply with these Terms and with the documentation associated with the APIs and Content available on the Developer Site or otherwise provided to you by ServiceTitan (“Documentation”).
3.4 Use Restrictions. In addition to the other terms and conditions in these Terms, except as expressly set forth herein or in another written agreement with ServiceTitan (including approval for use of Restricted APIs), and in furtherance of the Purpose of these Terms, you agree not to do any of the following:
(1) distribute or allow access to the APIs or use the APIs to connect to any other product or service other than the ServiceTitan Platform;
(2) modify, translate or create derivative works of the APIs, Content, ServiceTitan Platform, or Documentation;
(3) reverse engineer, disassemble, decompile, extract, derive, or otherwise attempt to gain access to (i) source code not provided to you in the APIs or Documentation except to the limited extent expressly authorized under applicable statutory law, or (ii) training data, model weights, or model architectures from any AI features within the ServiceTitan Platform;
(4) remove, alter, or cover any copyright notices or other proprietary rights notices, or hyperlinks, placed or embedded on or in any part of the APIs, Content, Documentation or ServiceTitan Platform;
(5) adversely affect, impede, interfere with or otherwise hinder or disrupt the functionality, stability, or performance of the APIs or ServiceTitan Platform;
(6) exceed or attempt to circumvent any rate limits, usage quotas, or other technical limitations applicable to the APIs, which ServiceTitan may establish, modify, or differentiate by API version, endpoint, tier, or otherwise, at any time in its sole discretion;
(7) include in your Application any code that performs operations not directly related to the services provided by the Application, including without limitation embedding or incorporating code into any Application which utilizes the resources (including CPU resources) of another computer, including for the purposes of cryptocurrency mining;
(8) inject, embed, or introduce into your Application, the APIs, the ServiceTitan Platform, or any systems that interact with the APIs or the ServiceTitan Platform, any code, scripts, programs, or other automated processes;
(9) exploit any vulnerability, misconfiguration, or defect in the APIs, the ServiceTitan Platform, or any systems that interact with the APIs, regardless of how such exploitation occurs, including without limitation SQL injection, cross-site scripting (XSS), cross-site request forgery (CSRF), remote code execution, or similar attack vectors;
(10) access the ServiceTitan Platform, or receive or obtain Content or customer data from the ServiceTitan Platform, through any means, method, or channel other than the APIs as expressly authorized under these Terms, whether directly or through a ServiceTitan customer or other third party;
(11) use the APIs in any manner that excessively burdens the APIs and/or the ServiceTitan Platform, or in any manner that, in ServiceTitan’s reasonable discretion, constitutes abusive usage, which shall include without limitation the distribution of spyware, adware or other objectionable programs;
(12) create or develop any application or other software (including the Application) that exposes or discloses API(s) to end users;
(13) use the APIs in any way that subjects the API or ServiceTitan Platform, or any portion thereof, to any open source license;
(14) release or otherwise commercially distribute to third parties any Application that is not fully compatible with the API(s);
(15) create or disclose metrics about, or perform any analysis of the API, Content, ServiceTitan Platform or Documentation;
(16) use the APIs for any activities where the use or failure of the APIs could lead to death, personal injury, or environmental damage (such as the operation of nuclear facilities, air traffic control, or life support systems);
(17) use the APIs, Documentation or Content for any illegal purposes, or in any manner which would violate these Terms, or breach any laws or regulations, or violate the rights of third parties or expose ServiceTitan or its customers or users to legal liability;
(18) use the APIs on behalf of any third party;
(19) Sell, sublicense, or lease the APIs or any access thereto;
(20) share your Account Credentials with any ServiceTitan competitor, provision or make available Account Credentials to any ServiceTitan competitor, or otherwise enable a ServiceTitan competitor to have access;
(21) develop, offer, or distribute an Application whose primary purpose is to migrate ServiceTitan customers off of the ServiceTitan Platform or any portion thereof;
(22) disparage ServiceTitan or knowingly tarnish the name, reputation, image or goodwill of ServiceTitan in connection with your Application or use of the API;
(23) use Content obtained from one ServiceTitan customer to provide insights that benefit any other customer or third party;
(24) aggregate or combine Content from multiple ServiceTitan customers;
(25) include Content in any search engine, directory, or database accessible to third parties;
(26) request, obtain, display, or use more than the minimum amount of Content or data from the APIs that is necessary to provide the ServiceTitan customer the intended Application functionality, provided that such intended Application functionality shall at all times be limited to that functionality which is documented and approved by ServiceTitan in connection with the Certification Requirements;
(27) access the APIs or ServiceTitan Platform in a manner that sends more request messages to ServiceTitan's servers than a human could reasonably produce in the same period using a conventional web browser, or otherwise engage in any mining, scraping, harvesting, crawling, spidering, or bulk extracting of data, Content, or information from the APIs, the ServiceTitan Platform, or any systems connected thereto, in each case whether through automated means (including robots, spiders, scrapers, crawlers, or similar data gathering or extraction tools) or manual processes;
(28) collect, harvest, or compile information about ServiceTitan customers, end-users, or other third parties from the APIs or ServiceTitan Platform, including without limitation email addresses, names, contact information, or usage patterns, except as strictly necessary to provide your Application's services to the specific ServiceTitan customer to whom such information relates and only as expressly permitted by these Terms;
(29) derive, create, publish, sell, or distribute any benchmarks, industry reports, market analyses, trend data, statistical insights, or similar derivative works from Content or data obtained through the APIs, whether based on data from a single ServiceTitan customer or multiple customers;
(30) monetize, commercially exploit, or derive revenue from Content or data obtained through the APIs, or any insights, analyses, or derivative works therefrom, except to the extent such revenue is derived solely from providing your Application's approved services directly to the specific ServiceTitan customer to whom the underlying data relates;
(31) use the ServiceTitan Platform or any Content, data, or information obtained through the APIs (including ServiceTitan customer data, end-user data, usage data, or any derivatives thereof) to train, develop, improve, test, fine-tune, or benchmark any artificial intelligence, machine learning, large language model, neural network, or similar system or technology (collectively, “AI”);
(32) use the APIs or any data obtained therefrom as input to AI that generates outputs for use by third parties or for commercial purposes;
(33) use AI to generate synthetic data based on Content or data obtained through the APIs;
(34) provide, sell, license, or transfer any Content or data obtained through the APIs to any third party for purposes of training, developing, or improving AI systems;
(35) use the APIs to collect data for creating training datasets for AI purposes;
(36) use AI in your Application that processes data obtained through the APIs in a manner that would violate these Terms if you performed such processing directly; or
(37) permit any bots, robotic process automation (RPA), AI (whether agentic or otherwise), or similar automated technology (“AI System”) to independently determine which API endpoints to access, what Content to request or modify, or what actions to take through the APIs. Any API calls made by or through an AI System must be limited to predefined operations within your Application's Certified Scope and must not allow the AI System to autonomously expand, modify, or deviate from such predefined operations. You must disclose to ServiceTitan whether your Application incorporates or relies upon any AI System at the time of registration and promptly upon any subsequent integration of an AI System. ServiceTitan reserves the right to impose additional conditions, restrictions, or Certification Requirements on any Application that incorporates an AI System, including requiring human authorization for write operations, if ServiceTitan elects to permit such use of an AI System at all. Use of an AI System in connection with the APIs without disclosure to and approval by ServiceTitan shall constitute a material breach of these Terms.
All terms and conditions set forth in these Terms with respect to AI shall apply regardless of whether the AI is proprietary, open source, or operated by a third party, and regardless of whether you are developing the system for your own use or for a third party's benefit.
3.5 Third Party Provider Restrictions. You may not use any third-party service provider in connection with your Application or the APIs unless such service provider has executed a written agreement with you that: (a) protects Content and data obtained through the APIs with protections at least as stringent as those in these Terms; (b) limits the service provider's use of such data solely to providing services to your Application and prohibits use for the service provider's own purposes; and (c) requires the service provider to maintain appropriate security and confidentiality measures. You are fully responsible for your service providers' compliance with these Terms, and any breach by a service provider will be deemed a breach by you. You must provide ServiceTitan with a list of all service providers upon request.
4. UPDATES; SUPPORT AND MAINTENANCE
4.1 Updates to APIs. ServiceTitan may, in its sole discretion, provide replacements, updates, modifications, or bug fixes for some or all of the APIs (“Updates”) and such Updates will be deemed part of the APIs and subject to the terms of these Terms. Updates may or may not be accompanied by notice to You. If ServiceTitan recommends timelines by which you should use the updated version of the APIs, You will use reasonable efforts to update your Application according to the recommended timelines and You understand that failure to update your Application according to such timelines could result in your Application no longer functioning in whole or in part and/or ServiceTitan terminating API access for your Application.
4.2 Support and Maintenance. ServiceTitan is not obligated to provide you with any assistance related to the APIs, the development of Applications, or connection to the ServiceTitan Platform. If ServiceTitan provides you with support it may withdraw or change such support at any time. ServiceTitan will make reasonable efforts to ensure the availability of the APIs, but it does not promise any particular uptime or provide SLAs.
5. CONTENT
5.1 Use and Display. You may not use the Content for any other purpose other than to allow your users to use the Content in your Application. Content that pertains to a particular customer may only be displayed to that customer.
5.2 Storage. You must not store or cache any Content obtained from the APIs for longer than 24 hours, except to the extent expressly permitted by these Terms or the Documentation. You must store all Content in a manner which enables you to identify, segregate and selectively delete such Content. The Content must not be stored in a data repository that would enable any third party access other than the ServiceTitan customer to which it relates.
5.3 Deletion Upon Request. You agree that you will remove from display and destroy any Content within twenty-four (24) hours upon email or other written request from ServiceTitan.
5.4 Cessation of Application Use. If a ServiceTitan customer uninstalls, disconnects, or otherwise terminates their use of your Application, you must immediately cease making API calls on behalf of that customer and delete all Content and data obtained from that customer through the APIs.
6. BRANDING, ATTRIBUTION, NO PUBLICITY
6.1 Brand Features. “Brand Features” means the name, logo, trademarks, trade names, service marks, domain names and other distinctive identifiers of you or ServiceTitan, as applicable.
6.2 Attribution. You agree to comply with any attribution requirements set forth in the Documentation and Trademark Use Guidelines that are provided to you or posted on the ServiceTitan Platform. In addition to such requirements, absent ServiceTitan’s prior written consent, you may not identify yourself as a “partner” of ServiceTitan, or in “partnership” with ServiceTitan, or in “association” with ServiceTitan. Any consent granted by ServiceTitan may subsequently be revoked upon written notice.
6.3 No Publicity. Except as expressly set forth in these Terms, the Documentation, or another written agreement between you and ServiceTitan, neither party will publicize their relationship or any integration between ServiceTitan and the Application without the prior written consent of the other party.
7. SECURITY
7.1 Security Standards. "Security Incident" means any actual or reasonably suspected: (a) unauthorized access to, acquisition of, use of, disclosure of, modification of, or destruction of ServiceTitan Confidential Information, Content, data obtained through the APIs, Account Credentials, or systems that store, process, or transmit such data; (b) loss or theft of any device or media containing Content or data obtained through the APIs; (c) compromise of the security, confidentiality, integrity, or availability of your Application or any systems that interact with the APIs; (d) breach of your security obligations under these Terms or material inaccuracy of the representations made to ServiceTitan with respect to your Application’s compliance with the Certification Requirements, including in connection with the Certification Process; or (e) any event requiring notification to affected individuals or regulatory authorities under applicable data protection laws.
You will implement and maintain reasonable technical, administrative, and physical safeguards with respect to your Application and all systems and infrastructure used to host, operate, or process Content, including secure management of Account Credentials. Such safeguards must: (a) comply with these Terms, any other applicable agreements with ServiceTitan, and all applicable laws and regulations, including data protection laws; (b) meet or exceed applicable industry standards; (c) protect the confidentiality, integrity, and availability of Content; and (d) be designed to prevent Security Incidents. You will promptly remediate all security vulnerabilities, including those identified by ServiceTitan, without undue delay.
7.2 Security Incident Notification and Response.
(a) Notification. You must notify ServiceTitan of any Security Incident within twenty-four (24) hours of becoming aware of such incident by emailing security@servicetitan.com. Your notification must include, to the extent known: (i) a description of the incident; (ii) the types of data affected; (iii) the number of ServiceTitan customers, end-users, and any other persons or entities potentially affected; and (iv) remedial actions taken or planned.
(b) Response Obligations. Upon discovery of a Security Incident, you must: (i) immediately take all necessary steps to contain and remediate the Security Incident; (ii) preserve all evidence related to the Security Incident for so long as reasonably necessary or until ServiceTitan confirms otherwise in writing (whichever is longer); (iii) conduct a thorough investigation at your own expense; (iv) provide ServiceTitan with regular updates on your investigation and remediation efforts; and (v) cooperate fully with ServiceTitan's investigation, mitigation, and remediation of such Security Incident, along with any regulatory or third-party inquiries as reasonably directed by ServiceTitan.
(c) Public Statements. You will not make any public statements, including press releases, blog posts, or social media disclosures regarding a Security Incident without ServiceTitan's prior written consent, except as required by applicable law, in which case you must provide ServiceTitan with reasonable advance notice and an opportunity to review such disclosure.
8. MONITORING AND AUDIT RIGHTS
8.1 Monitoring. ServiceTitan may monitor use of the APIs to ensure quality, improve ServiceTitan products and services and verify compliance with these Terms. This monitoring may include ServiceTitan accessing and using your Application, for example to identify security issues that could affect ServiceTitan or its users. You will not interfere with this monitoring. ServiceTitan may use any technical means to overcome such interference.
8.2 Audit Rights. ServiceTitan may, at its discretion and upon reasonable notice, audit and verify your compliance with the licenses, restrictions, and Certification Requirements set forth in these Terms, including by auditing your Application, records, and systems related to your use of the APIs, Content, and any other data obtained via the APIs. You will cooperate with any such audit and provide ServiceTitan with requested information and access within a reasonable timeframe not to exceed 30 days from the date of the request. ServiceTitan may use a third party to perform any such audit. You must maintain complete and accurate records of your API usage and compliance with these Terms for a period of two (2) years from the date of each relevant activity. If any audit reveals non-compliance with these Terms, you will promptly cure such non-compliance and reimburse ServiceTitan for all of the costs incurred in connection with the audit as well as all fees incurred by ServiceTitan to enforce this Section 8.2. In addition, if you fail to cooperate with an audit in a timely manner, including by failing to provide requested information or access within the timeframes specified herein, or otherwise delay, obstruct, or increase the cost of an audit, you will bear all costs and expenses incurred by ServiceTitan as a result of such failure, delay, or obstruction, including reasonable attorneys' fees, third-party auditor fees, and any additional administrative costs. Any material non-compliance with these Terms revealed by such audit shall constitute grounds for ServiceTitan to immediately terminate your access to the APIs, without limiting its other rights and remedies hereunder.
9. CONFIDENTIALITY AND LIMITED NONSOLICIT
9.1 Confidentiality. “ServiceTitan Confidential Information” means and includes any materials, communications, and information of ServiceTitan, or sent to you by or on behalf of ServiceTitan, that are marked confidential or that would normally be considered confidential under the circumstances, including trade secrets, information related to APIs, Documentation, Account Credentials, and the content of our communications to you. If you receive any such ServiceTitan Confidential Information, then you will: (a) not disclose it to any third party without ServiceTitan’s prior written consent; (b) use it solely to exercise your rights and perform your obligations under these Terms, and for no other purpose; and (c) protect it using at least the same degree of care you use to protect your own confidential information, but in no event less than reasonable care. ServiceTitan Confidential Information does not include information that you can demonstrate through written records: (i) was known to you prior to disclosure by ServiceTitan without breach of any confidentiality obligations; (ii) was independently developed by you without use of or reference to ServiceTitan Confidential Information, (iii) was rightfully given to you by a third party without breach of any confidentiality obligation, or (iv) becomes public through no fault of your own. You may disclose ServiceTitan Confidential Information when compelled to do so by law if you provide ServiceTitan with reasonable prior notice and cooperate with ServiceTitan’s efforts to obtain protective treatment of such information, unless you are prohibited by law from providing ServiceTitan such prior notice. You are responsible for any breach of this Section 9 by your employees, contractors, or service providers.
9.2 Limited Nonsolicit. Without limiting the generality of the foregoing, in furtherance of the Purpose of these Terms, to protect ServiceTitan Confidential Information and intellectual property, and to the maximum extent permitted by applicable law, you agree that during the Term of these Terms and for a period of twelve (12) months following termination or expiration of these Terms (or your last use of the APIs, whichever is later), you shall not use any ServiceTitan Confidential Information to directly solicit, induce, or encourage any Covered Customer to terminate any of its subscriptions to the ServiceTitan Platform or otherwise terminate its contractual relationship with ServiceTitan for the purpose of migrating such customer to a Competing Service offered by you or your affiliates. For purposes of this Section, “Covered Customer” means a ServiceTitan customer (a) with whom you had a Substantive Business Interaction through the APIs or the ServiceTitan Platform during the twenty-four (24) months immediately preceding such termination, expiration, or cessation of use, and (b) with whom you did not have a documented business relationship prior to your initial access to such customer through the APIs or the ServiceTitan Platform. “Substantive Business Interaction” means the delivery of your services to a customer through the APIs and/or ServiceTitan Platform, or direct communications with customer personnel regarding such services, but excludes automated data synchronization or other incidental access to customer data via your Custom Application, or Authorized Application, as applicable, as permitted by these Terms. “Competing Service” means software that provides substantially similar functionality to that provided by ServiceTitan. This Section 9.2 shall not restrict you from: (i) engaging in general advertising or marketing that is not specifically targeted at ServiceTitan customers; (ii) responding to unsolicited inbound inquiries from any customer; (iii) conducting business with customers with whom you had a documented pre-existing relationship prior to accessing such customer through the APIs; or (iv) developing customer relationships through channels entirely independent of the APIs or the ServiceTitan Platform and without the use of any ServiceTitan Confidential Information.
10. FEEDBACK
If you provide any feedback to ServiceTitan concerning the API, Content, or ServiceTitan Platform (including identifying potential errors and improvements) (“Feedback”), you hereby assign to ServiceTitan all right, title, and interest in and to the Feedback, and ServiceTitan is free to use the Feedback without payment or restriction.
11. FEES
11.1 Fees. ServiceTitan reserves the right to charge for the APIs. Your usage of the APIs may bear fees in the future.
11.2 Costs and Expenses. Except as otherwise specified, each party will bear its own fees and expenses in complying with these Terms, providing the APIs and Content (in the case of ServiceTitan), and providing the Application (in your case).
11.3 No Incremental Charges to Application Users. You may not charge users or customers of your Application any incremental fees for access to the APIs or ServiceTitan Content.
12. OWNERSHIP
All rights not expressly granted to you in these Terms are reserved to ServiceTitan. No additional rights whatsoever (including, without limitation, any implied licenses) are granted to you. ServiceTitan does not acquire ownership in your Application, and you do not acquire ownership of any rights in our APIs, the Content, or the ServiceTitan Platform.
13. TERM AND TERMINATION
13.1 Term. The term of these Terms (the “Term”) will commence on the date you first accept these Terms or access or use the APIs, whichever is earlier (the “Effective Date”) and will continue in effect until terminated in accordance with the provisions of these Terms.
13.2 Termination and Suspension. You may terminate these Terms at any time upon written notice to ServiceTitan. ServiceTitan may terminate these Terms immediately, or suspend your access to the APIs, if you are in breach of these Terms, or ServiceTitan suspects your Application is causing ServiceTitan Platform instability, or security, legal or business risks or is otherwise not in ServiceTitan’s or its customers’ or users’ best interests. In the foregoing situations, ServiceTitan does not promise prior notice but will make reasonable efforts to provide you with notice. In addition to its other termination rights herein, ServiceTitan may terminate these Terms at its discretion at any time upon thirty (30) days prior notice to you.
13.3 Discontinuance; Modification. ServiceTitan may, at any time and in its sole discretion, discontinue, modify, degrade, limit, or restrict any or all of the APIs, including by removing or limiting endpoints, reducing read or write capabilities, altering response fields or data structures, imposing new or different rate limits, or otherwise changing the scope or functionality of the APIs. ServiceTitan will use reasonable efforts to provide advance notice of material changes but is not obligated to do so. You acknowledge that your use of the APIs is at your own risk, that the APIs may change at any time, and that no discontinuance, modification, degradation, limitation, or restriction of the APIs shall entitle you to any compensation, damages, credits, or other remedy, whether under these Terms or otherwise. You are solely responsible for designing and updating your Application to accommodate changes to the APIs.
13.4 Survival. Sections 5, 6, 7, 8, 9, 10, 12-17 will survive any termination of these Terms.
14. DISCLAIMER OF WARRANTIES
THE APIs AND ALL MATERIALS THEREIN AND CONTENT RECEIVED THEREFROM, AND ALL INTELLECTUAL PROPERTY MADE AVAILABLE OR LICENSED BY SERVICETITAN UNDER OR IN CONNECTION WITH THESE TERMS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. SERVICETITAN DISCLAIMS ALL WARRANTIES, DUTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED OR STATUTORY WITH RESPECT TO THE APIs, AND ALL MATERIALS THEREIN AND DATA RECEIVED THEREFROM, AND RELATED INTELLECTUAL PROPERTY, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AVAILABILITY, SECURITY, NONINFRINGEMENT, AND/OR LOSS OF DATA. SERVICETITAN DOES NOT WARRANT THAT THE APIs, CONTENT, DOCUMENTATION OR SERVICETITAN PLATFORM WILL BE FREE OF ERRORS, BUGS OR INTERRUPTIONS OR THAT THE CONTENT OR OTHER DATA PROVIDED IS ACCURATE, COMPLETE OR OTHERWISE VALID.
15. INDEMNITY
You will defend, hold harmless, and indemnify ServiceTitan and its affiliates, and their respective employees, shareholders, directors, officers, and agents (collectively, “ServiceTitan Indemnitees”) from and against all claims, actions, demands, suits, proceedings, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees, regulatory fines and penalties, costs of notification and credit monitoring, and costs of investigation and remediation) arising from or relating to: (a) your breach of these Terms; (b) the violation of any copyright, trademark, service mark, trade secret or patent by the Application, Feedback or your Brand Features; (c) your content or data in your Application that you submit via the APIs (excluding Content); (d) any Security Incident involving your Application, your systems, or any systems used by you or your service providers in connection with the APIs, regardless of whether such Security Incident constitutes a breach of these Terms; (e) your violation of any applicable law, rule, or regulation in connection with your use of the APIs or your Application; or (f) any regulatory investigation, enforcement action, or proceeding directed at any ServiceTitan Indemnitee arising from or relating to your use of the APIs or your Application. You will not agree to any settlement that imposes any obligation or liability on any ServiceTitan Indemnitee, or that includes any admission on behalf of any ServiceTitan Indemnitee, without ServiceTitan's prior written consent.
16. LIMITATION OF LIABILITY
SERVICETITAN WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES ARISING FROM OR OTHERWISE RELATED TO THESE TERMS OR THE APIs, CONTENT, DOCUMENTATION OR SERVICETITAN PLATFORM, EVEN IF SERVICETITAN OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SERVICETITAN’S TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO ONE HUNDRED DOLLARS. YOU HEREBY RELEASE SERVICETITAN FROM ANY AND ALL OBLIGATIONS, LIABILITIES, AND CLAIMS IN EXCESS OF THIS LIMITATION. ALL CLAIMS BY YOU, WHETHER IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, MUST BE BROUGHT WITHIN ONE YEAR FROM THE DATE THE CAUSE OF ACTION ACCRUES. THIS LIMITATION OF LIABILITY CONSTITUTES AN ESSENTIAL PART OF THESE TERMS. THE LIMITATIONS OF LIABILITY CONTAINED HEREIN WERE FACTORED INTO THE FEE STRUCTURE AND RISK ALLOCATION BETWEEN THE PARTIES AND FORM A MATERIAL PART OF THE BARGAIN.
17. MISCELLANEOUS
17.1 No Partnership, Joint Venture or Franchise. These Terms will not be construed as creating a partnership, joint venture, or agency relationship or as granting a franchise.
17.2 Export. The APIs, ServiceTitan Platform, and Applications may be subject to U.S. export jurisdiction and other applicable national or international laws. You agree to comply with all applicable international and national laws, including the U.S. Export Administration Regulations.
17.3 Independent Development; No Exclusivity. Subject to the parties’ other rights and obligations under these Terms, each party agrees that the other party may develop products and services that are similar to or otherwise compete with such party’s products and services. No exclusivity is created by you entering into these Terms.
17.4 Compliance with Laws. You will abide by all applicable local, state, national, and foreign laws, treaties and regulations in connection with Application(s) and your use and display, as applicable, of the APIs, Documentation and Content.
17.5 Governing Law. These Terms will be interpreted, construed, and enforced in all respects in accordance with the laws of the State of Delaware, U.S.A, without reference to its choice of law rules and excluding the provisions of the 1980 U.N. Convention on Contracts for the International Sale of Goods. Except as otherwise specified in these Terms, including arbitration requirements, any action arising out of or in connection with these Terms will be heard in the state or federal courts sitting in New Castle County, Delaware, and each party hereby irrevocably consents to the exclusive jurisdiction and venue of these courts. The prevailing party will be entitled to receive from the other party its reasonable attorneys' fees and costs incurred in connection with any arbitration and/or litigation under these Terms.
17.6 Arbitration. Except for the right of either party to apply to a court of competent jurisdiction for a temporary restraining order, a preliminary injunction, or other equitable relief to preserve the status quo or prevent irreparable harm, any dispute as to the interpretation, enforcement, breach, or termination of these Terms will be settled by binding arbitration in Los Angeles County, California, under the Commercial Arbitration Rules of the American Arbitration Association (the “Rules”) by one arbitrator appointed in accordance with such Rules. All disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one party's claims and may not preside over any form of class or representative proceeding. The arbitration proceedings, including any filings, evidence, testimony, and the arbitrator's award, will be treated as confidential information of both parties and may not be disclosed to any third party except: (i) as necessary to enforce the award; (ii) as required by applicable law, regulation, securities exchange, or court order; (iii) to a party's legal counsel, accountants, and professional advisors under obligations of confidentiality; (iv) to a party's insurers or potential insurers in connection with coverage for the dispute; (v) in connection with a party's bona fide due diligence obligations relating to a merger, acquisition, financing, or similar transaction, provided the recipient is bound by confidentiality obligations; or (vi) to the extent the information becomes publicly available through no fault of the disclosing party. All other disputes will be resolved by a court as specified in these Terms. Judgment upon the award rendered by the arbitrators may be entered in any court of competent jurisdiction. If there is a conflict between the Rules and these Terms, these Terms will prevail.
17.7 Notice. Unless otherwise specified in these Terms, notice required of a party to the other party pursuant to these Terms may be provided by email to the email address associated with your account on the Developer Site (in the case of notice from ServiceTitan to you) or to legal@servicetitan.com (in the case of notice from you to ServiceTitan).
17.8 Assignability. You may not assign your rights, duties, and/or obligations under these Terms without ServiceTitan’s prior written consent; provided, however, that if you are a ServiceTitan customer and ServiceTitan has consented to the assignment of your ServiceTitan customer agreement(s) (including any terms of use, customer success agreement, master order form, or similar agreement governing your use of the ServiceTitan Platform), these Terms shall be deemed assigned to the same assignee upon the effective date of such assignment without requiring separate consent. Any assignment in violation of this Section is null and void.
17.9 Construction. If any part of these Terms is found to be illegal, unenforceable, or invalid, the remaining portions of these Terms will remain in full force and effect. If any limitation or restriction on the grant of any license to you under these Terms is found to be illegal, unenforceable, or invalid, the license will immediately terminate. Failure by a party to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that or any other provision. The headings contained herein are not part of these Terms other than for convenience.
17.10 Entire Agreement. These Terms constitute the entire and exclusive agreement between you and ServiceTitan, and supersede prior agreements (whether written or oral) and communications between you and ServiceTitan with respect to the APIs, Documentation and Content.
17.11 Changes to these Terms. ServiceTitan reserves the right to update these Terms at any time. and you are responsible for reviewing these Terms periodically for changes. ServiceTitan will notify you of material updates to these Terms, such notice to be provided in a manner reasonably determined by ServiceTitan (e.g., ServiceTitan may send email notice to the email address associated with your account on the Developer Site and/or may display banner notice on the Developer Site). Your continued use of the APIs after changes have been posted constitutes your acceptance of any and all such changes.
